| 1.3 | A corporation or organization can only apply for a membership. Any application submitted through password verification will be regard as the member's own behavior or the legal authorization, the legal consequence caused by these behaviors will be beared by member directly. |

| Chapter ¢ò: Terms and Definition |
| 2.1 | Member indicates natural person, legal person and other organization that registers on Sinicprint website and is verified the membership. |
| 2.2 | Parties of dealing indicate members that make a deal on Sinicprint website. |
| 2.3 | Tenderee indicates member that puts forward tender project and carries out tender according to these transaction regulations. |
| 2.4 | Bidder indicates member that responds to tender and competes for biding according to these transaction principles. |
| 2.5 | Tenders and bids indicate Sinicprint website supplies special way of dealing for member: Tenderee issues tender announcement, opens tender, evaluates bid, issues successful bid announcement; Bidder submits a bid by Sinicprint website. |
| 2.6 | Purchaser indicates member that buys product and service by Sinicprint website. |
| 2.7 | Supplier indicates member that sells product and service by Sinicprint website. |
| 2.8 | Transaction platform indicates Sinicprint supplies special way of dealing for member: Purchaser and Supplier release purchasing and selling information and make a deal by Sinicprint website. |
| Chapter ¢ó: Principles of Transaction |
| 3.1 | Parties of dealing make a deal through Sinicprint website, they should comply with the relevant law about product dealing and service dealing. |
| 3.2 | Parties of dealing make a deal through Sinicprint website, they should comply with the Internet technology standard and safety standard to ensure safe transaction. |
| 3.3 | Parties of dealing shall comply with the regulations of Sinicprint. |
| 3.4 | Parties of dealing shall comply with dealing principles of honesty, open an austere self-disciplinary and healthy on-line transaction. Parties of dealing can't do illegal thing by using way of on-line transaction. |
| Chapter ¢ô The procedures and rules of tenders and bids |
| 4.1 | A Tenderer shall have necessary funds or sources of funds for project subject to tender. |
| 4.2 | Tenders include public tenders invitational tenders. A tenderer who adopts public tender shall issue the tender announcement through Sinicprint website. A tenderer who adopts invitational tender shall issue invitation for submission of bids to three or more specified legal person or other specified organizations capable of undertaking the project subject to tender and having a good reputation creditworthiness. |
| 4.3 | A Tenderer who has the capability of preparing his tender documents and organizing bid assessments. |
| 4.4 | As tenderer issues a tender announcement, the contents must include: name of Tendering Co., outlined and details of tendering, way of tendering, time of bidding and tender opening, location of tender opening, method of bidding evaluation, contact information, etc. |
| 4.5 | A tender project shall give a reasonable period of time for bidders necessary for preparing their bid documents, the minimum period from the issue date of the tender documents to the deadline for submission of bid documents by bidders, general project may not be less than 7 working days, large tendering may not be less than 20 working days. |
| 4.6 | A tenderer who desires to make clarification or modification in his tender documents already issued shall notify the bidders of his documents by issuing complementary notice at least 5 working days before the deadline. |
| 4.7 | A bidder shall have the capability and qualification to undertake the project subject to tender. |
| 4.8 | A bidder shall prepare his bid documents as required by tender documents. The bid documents shall respond to the substantial requirements and terms put forward in the tender documents. |
| 4.9 | A bidder shall submit his bid documents to Sinicprint prior to the deadline for submission set in the tender documents. |
| 4.10 | Prior to the deadline for submission of bid documents set in tender documents, a bidder may withdraw his tender documents already submitted to modify, but at the same time of tender, resubmitted documents cannot be withdrew. |
| 4.11 | A bidder who, in consideration of the actual conditions of project stated in the tender documents, intends to subcontract some parts of the project excluding the main structure and critical work after winning the project, shall make clear statements in his bid documents. |
| 4.12 | Two more corporations may form a consortium and jointly submit their bids as one bidder. Parties to a consortium shall enter into an agreement on joint submission of bid to define the work and responsibility to be assumed by each of them, and shall deliver the agreement to the tenderer together with the bid documents. If a consortium wins the bid, the parties thereto shall jointly enter into a contract with the tenderer and assume joint and several liabilities over the winning project to the tenderer. |
| 4.13 | A Bidder may not collude with other bidders in submitting their bid price quotations or discriminate fair competition by other bidders to prejudice the legitimate rights and interests of the tenderer or other bidders. |
| 4.14 | A Bidder may not collude with tenderer to prejudice the legitimate rights and interests of the tenderer and other bidders. It is forbidden for bidders to offer bribes to the tenderers or members of the bid assessment committees for winning. |
| 4.15 | Tender project shall be opened on Internet according to the tender announcement. |
| 4.16 | If the number of bidders is less than three, marked void, the tenderer shall issue the tender anew. |
| 4.17 | The assessments of the tender are based on the project size by using the different methods of assessments.
I The general tender adopt the following assessments to complete by computer system automatically:
1. The lowest price, in that, the lowest bidder can be the successful bidder.
2. The sub-lowest price, that is, to choose from the lowest bidder a closest one.
3. Sub-mid price, that is, to take the average of all bidders to offer (excluding a maximum and a minimum reserve price) as the basis, calculate the mid price, and choose the bidders who are less than the nearest of mid price.

| 4.18 | When the winning bidder is determined, shall issue a bid-wining announcement to Sinicprint. |
| 4.19 | The bid-wining announcement is legally binding on both tenderer and the winning bidder. If, after the bid-wining announcement issued, the tenderer alters the bidding result or the winning bidder waives the winning project, the tenderer or the winning bidder shall bear the legal liabilities according to law. |
| 4.20 | Within 7 days following the date of issuance of the bid-winning announcements, the tenderer the winning bidder shall enter into a contract. |
| 4.21 | A tenderer who restricts or excludes an intended bidder with unreasonable requirements, applies discriminate treatment to an intended bidder, shall be announced by Sinicprint. |
| 4.22 | If the tender failed to enter into a procurement contract with the winning bidder after the bid-winning announcement issued, Sinicprint is entitled to cancel the qualification for taking part in tendering within half or one year, and the cancellation shall be announced. If any loss is caused to winning bidder, the tenderer shall be liable therefore according to law. |
| 4.23 | The tenderer fails to perform the contract signed with the bidder, he shall compensate the loss of the bidder. If the circumstance is serous, Sinicprint is entitled to cancel the qualification for taking part in tendering within half or one year, and the cancellation shall be announced. |
| 4.24 | If a bidder resorts to deception to win the bid, his winning of the bid shall be invalid, if a loss is caused to the tenderer, the bidder shall be liable therefore according to law. In serious cases, the Pearl River printing network canceled within six months to a year for tendering participating eligible in the notice. If the circumstance is serous, Sinicprint is entitled to cancel the qualification for taking part in bidding within half or one year, and the cancellation shall be announced. |
| 4.25 | If a Bidder colludes with another bidder in submitting their bids or colludes with the tenderer in submitting his bids, or if a bidder resorts to the manner of offering bribes to the tenderer or members of the bid assessment committee members to win the bid, his winning of the bid shall be void and invalid. If the circumstance is serous, Sinicprint is entitled to cancel the qualification for taking part in bidding within half or one year, and the cancellation shall be announced; if any loss is caused to other persons, the bidder shall be liable therefore according to law. |
| 4.26 | If a winning bidder transfers his winning project to another person or failed to enter into a contract with the tenderer, he shall compensate the loss of the tenderer. If the circumstance is serous, Sinicprint is entitled to cancel the qualification for taking part in bidding within half or one year, and the cancellation shall be announced. |
| Chapter ¢õ:The Procedures and Principles of Transaction Platform |
| 5.1 | Purchaser sponsors dealing, and the procedures as following:
A Purchaser releases buying information. Buying information include detailed requirements of product and service, such as variety, specification, performance, quantity, price, valid time of buying.
B Supplier replies the information according to the purchasers' requirements.
C Purchaser chooses suppliers and deal with them. |
| 5.2 | Supplier sponsors dealing, and the procedures as following:
A Supplier releases selling information. Selling information include detailed requirements of product and service, such as variety, specification, performance, quantity, price, valid time of selling.
B Purchaser replies the information according to the suppliers' requirements.
C Supplier chooses purchasers and deal with them. |
| 5.3 | Sinicprint is entitled to give announcement to suppliers when the following situation occurs: Two parties have verified the dealing, however, supplier can't supply the product; the quantity is less than the agreement or supplier doesn't indicate product with defect, the supplier shall be considered breach of contract. Cases of gross violation, the supplier shall be cancelled the qualification of dealing on Sinicprint website within half or one year. |
| 5.4 | Sinicprint is entitled to give announcement to purchasers when the following situation occurs: Two parties have verified the dealing, however, purchaser can't sign contract in schedule time or doesn't fulfill the contract, the supplier shall be considered breach of contract. Cases of gross violation, the purchaser shall be cancelled the qualification of dealing on Sinicprint website within half or one year. |
| 5.5 | Sinicprint is entitled to give announcement to purchasers and suppliers when they violate the law. Cases of gross violation, the purchaser shall be cancelled the qualification of dealing on Sinicprint website within half or one year. Cases of gross violation particularly, Sinicprint is entitled to call to his legal obligation. |
| Chapter ¢ö: Dealing Risks |
| 6.1 | Sinicprint is not responsible for examining and verifying member's registration data, business behavior and other matter concerning business in the legal sense. And it can't guarantee the member's behavioral norm during dealing, just can remind member to know true identity, credit status of other side. |
| 6.2 | Sinicprint reserves electronic data of dealing and takes this as evidence of dealing, however, Sinicprint can't guarantee absolute safety of electronic information, can't guarantee the website won't be suffered hostile attack and invaded by computer virus, just can remind member to reserve the relevant data and information of trade which could take as the evidence, especially predominant goods. |
| Chapter ¢÷: Supplementary Articles |
| 7.1 | If any dissension occurs between members, the member shall resolve it by consultation as far as possible, or request Sinicprint to settle, or apply to arbitral authority to umpire and preferred the suit in people's court in accordance with the law. |
| 7.2 | Sinicprint reserves the authority for the interpretation and amendment of these dealing regulations. |
| 7.3 | The regulations take effects as of promulgation. Any amendments take effects as of amendments promulgation. |
